As a registered company with the Companies and Intellectual Property Commission (CIPC), you are fulfilling an important responsibility: submitting your annual returns within the designated timeframe each year. In an effort to promote corporate transparency regarding beneficial ownership, the Companies Act, 71 of 2008, was recently updated through the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act, 22 of 2022. CIPC launched the Beneficial Ownership Register on 1 April 2023, requiring all registered entities, except for co-operatives, to provide their beneficial ownership information starting on 24 May 2023.

Beginning 1 July 2024, every company and close corporation will need to submit Beneficial Ownership Declarations (BO) along with their Annual Returns (AR). Each entity must file its Annual Returns, Beneficial Ownership Declarations, and appropriate security register and/or beneficial interest register each year within 30 business days of its incorporation anniversary. Meeting these regulations not only enhances your business’s compliance status but also contributes positively to the broader corporate environment.

Furthermore, new businesses must submit their BO information within 10 business days of incorporation, while existing businesses are required to file amended declarations within the same timeframe if there are any updates to their beneficial ownership information.
